Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kredey Innovations Private Limited ("Kredey," "we," "us," or "our"), governing your access to and use of the Vaanir platform (vaanir.in and associated mobile applications). By creating an account or using Vaanir, you agree to be bound by these Terms.

1. About Vaanir

Vaanir is a live commerce marketplace that enables sellers to create online storefronts, list products, and manage orders arising from live selling sessions on social media platforms. Buyers can browse seller storefronts, place orders, and make payments through the platform.

Vaanir is a marketplace, not a seller. We provide the technology platform that connects sellers and buyers. We do not own, manufacture, store, or ship any products listed on the platform. All product listings, pricing, descriptions, quality, fulfillment, and delivery are the sole responsibility of the respective seller.

2. Eligibility

You must be at least 18 years of age to use Vaanir. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Account Registration

To use Vaanir, you must create an account using your phone number and OTP-based verification. During your first login, you will select your role — Buyer or Seller. You are responsible for maintaining the security of your account and for all activities under your account.

You agree to provide accurate and complete information during registration. Guest access and guest checkout are not available. All users must be logged in to use Vaanir.

4. For Sellers

Storefront and Listings: As a seller, you may create a storefront with a unique handle. You are solely responsible for the accuracy, legality, and completeness of all product information.

Seller Obligations:

  • Provide truthful product descriptions and images
  • Set fair and transparent pricing
  • Honor all confirmed orders
  • Handle packaging, shipping, and delivery directly
  • Comply with all applicable Indian laws

Buyer Data: When a buyer places an order, you receive their name, phone number, and delivery address. You agree to use this data exclusively for fulfilling the specific order. Any other use is strictly prohibited.

Prohibited Products: You may not list products that are illegal, counterfeit, stolen, hazardous, or that infringe upon any third party's intellectual property rights.

5. For Buyers

Ordering and Payment: You may browse seller storefronts, add items to a per-seller cart, and complete purchases through Razorpay. Each seller maintains a separate cart. All payments are processed securely through Razorpay. Vaanir does not store your payment credentials.

Buyer Obligations: Provide accurate delivery information. Acknowledge that the product is shipped directly by the seller, not by Vaanir.

6. Orders, Cancellation, and Refunds

Order Confirmation: An order is confirmed once payment is successfully processed through Razorpay.

Cancellation: Permitted only while the order status is "Pending." No cancellation charges are imposed on either party.

Refunds: Processed through Razorpay and credited to the original payment method, typically within 5–7 business days.

Returns and Disputes: Return and exchange policies are determined by each individual seller. Vaanir may assist in mediation but is not obligated to resolve disputes. Buyers may approach consumer forums or the National Consumer Helpline (1800-11-4000).

Important: Vaanir acts as a technology platform and intermediary. We are not a party to the transaction between buyer and seller. Our liability is limited to providing the platform and payment facilitation.

7. Payments and Fees

All payments are processed through Razorpay. Currently, Vaanir does not charge any platform fee, commission, or subscription. We reserve the right to introduce fees with at least 30 days' advance notice.

8. Intellectual Property

The Vaanir name, logo, brand elements, platform design, source code, and all associated intellectual property are owned by Kredey Innovations Private Limited. Sellers retain ownership of their content and grant us a non-exclusive, royalty-free license to display it for platform operation.

9. Prohibited Conduct

You agree not to:

  • Use Vaanir for any unlawful purpose or in violation of any applicable law
  • Misrepresent your identity or impersonate another person
  • Scrape, crawl, or use automated tools to extract data from the platform
  • Attempt to gain unauthorized access to any part of the platform, other user accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the platform
  • Post or transmit content that is defamatory, obscene, hateful, or that violates any third party's rights
  • Engage in price manipulation, fake orders, or any form of fraudulent activity

10. Platform Role and Limitation of Liability

Vaanir operates as a marketplace e-commerce entity under the Consumer Protection (E-Commerce) Rules, 2020, and as an intermediary under Section 2(1)(w) of the Information Technology Act, 2000.

To the maximum extent permitted by law, Vaanir and Kredey Innovations shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total aggregate liability shall not exceed the platform fees paid by you in the 12 months preceding the claim, or INR 1,000 if no fees have been paid.

11. Indemnification

You agree to indemnify and hold harmless Kredey Innovations from any claims, liabilities, damages, or expenses arising out of your use of the platform, your violation of these Terms or any applicable law, or any dispute between you and another user.

12. Suspension and Termination

We may suspend or terminate your account without prior notice if you violate these Terms. You may delete your account by contacting support@vaanir.in. Sections that by their nature should survive termination will survive.

If unsatisfied, you may approach the Consumer Disputes Redressal Commission or the National Consumer Helpline at 1800-11-4000.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad, Uttar Pradesh, India.

15. Modifications

We may modify these Terms at any time. Material changes will be notified at least 15 days before they take effect. Continued use constitutes acceptance.

16. Severability

If any provision is found invalid, the remaining provisions continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any seller-specific agreements, constitute the entire agreement between you and Kredey Innovations regarding your use of Vaanir.
